Terms of Service

1. Acceptance

By accessing or using vdowrx (the “Service”) you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Dialify Technologies Private Limited (“we”, “us”, “our”).

2. Description of Service

vdowrx provides an API-driven video reframing pipeline that converts landscape (16:9) video files to portrait (9:16) and square (1:1, 4:5) formats via spatial cropping. The Service does not upscale, re-encode to different codecs for quality enhancement, or alter the content of your video beyond the crop operation.

3. Accounts

You must provide accurate information when registering. You are responsible for maintaining the confidentiality of your API credentials. You must notify us immediately of any unauthorized use. We reserve the right to suspend accounts that violate these Terms.

4. Acceptable Use

You may not use the Service to process video content that: (a) infringes any third-party intellectual property right; (b) contains illegal material including child sexual abuse material; (c) is used to harass, defame, or harm individuals; or (d) violates any applicable law or regulation. We reserve the right to terminate accounts and report illegal content to authorities.

5. Payments and Plans

Subscription fees are billed monthly in advance via Paddle, our authorized merchant of record. All prices are in USD. Your subscription renews automatically on your billing cycle date. You authorize us to charge your payment method on file for each renewal period. Taxes may apply based on your jurisdiction and are calculated by Paddle at checkout.

6. Processing Limits

Each plan includes a monthly cap on source video minutes (Starter: 120 min, Pro: 500 min, Enterprise: unlimited by default). Minutes reset on your billing cycle start date and do not roll over. Submissions that would exceed your cap are queued for the next billing period unless you upgrade your plan.

7. Intellectual Property

You retain all rights to your video content. By submitting video to the Service, you grant us a limited, non-exclusive license to process and store it solely to provide the Service. We do not claim ownership of your content and do not use it to train machine-learning models. Processed outputs are deleted from our systems within 90 days of job completion.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Termination

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We may terminate or suspend your account immediately if you breach these Terms. Upon termination, your right to use the Service ceases and your data is scheduled for deletion per our retention policy.

11. Changes to Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
